SECTION 1 - GENERAL USE OF THE SITE

1. General provisions
The professional is a person who registers himself or his company at www.liquic.com with the intention to offer his services to the visitors of the site.
Liquic is the producer of the site www.liquic.com.
Content generated by the professional will be placed in the various parts of the site. Namely: listings, articles, online session definitions and events. Further developed parts will be added to this list.
Liquic retains the right to change the general terms. In the case that such changes will have a direct effect on the professionals listed on the site, then these changes will be communicated.

2. Etiquette
The professional will fill in all personal and professional information in truthfully.
The professional will not publish anything which is in conflict with the laws of their country of residence or in good ethics.
The professional will not use the site for propaganda or to incite collective movements.
The professional will only market his products or services in areas of the website where this is specifically intended.
The expressions of the professional should be in line with the global message of the site.
Liquic retains the right to remove professionals or their contributions to the site, and to ban them from future registration on the basis of non-accordance with the above rules.
Additionally, Liquic retains the right to remove professionals or their contributions to the site, and to ban them from future registration which are causing societal unrest or doing damage to the reputation of Liquic of involved third-parties.

To complete registration, the professional must choose a username and password. He or she is responsible for all usage of this username and password and may only use the website with his or her own credentials. All security measures should be taken to protect these credentials.

3. Liability
Liquic accepts no responsibility for damage incurred by technical failures, partial or complete outage of the site as long as it is of an incidental nature.
Liability for failures of a structural nature will be limited to the amount paid for the service.
The presentation of the contributions of the professional may not be contested.

4. Cancellation
Subscriptions paid or unpaid by the professional can be cancelled at any time via an email. Published articles will not be automatically removed but must be removed by the author prior to cancellation of the service. Since discounts can be received for up-front payments, compensation will not be given for cancellations.

5. Copyrights/Intellectual Property
All information published on www.liquic.com is the property of Liquic or has been placed with the approval of the owner. Content may not be reproduced without written approval. If a professional wishes to publish articles on the site, there may be additional terms and conditions to agree to. Liquic retains the right to syndicate publications for promotion, online and in print always with the author's name noted. The author will be informed of this. Objection to such syndication can only be made on the grounds that such an action would be harmful to the reputation of the author. If syndication results in direct income, then this income will only be split with the author if an agreement has been made on the sharing of profits prior to the syndication.

6. Personal information
The professional understands that publishing personal information on the internet makes that information available to the whole world. Liquic therefore encourages separating private and professional information. Liquic will take all reasonable measures to protect professionals' information from spam bots and email harvesters.




SECTION 2 - USE OF ONLINE SESSIONS
The usage of the online sessions service is optional.

TERMS OF SERVICE FOR TREATMENT PROVIDERS

Liquic facilitates the presentation, scheduling, and execution of online consultations. Professionals from all over the world create service profiles which are presented in our directory. Clients can request an online session with any professional. The professional must then accept this request and, for live sessions, confirm the start date and time. Once confirmed, the client will again need to confirm the session details and, if so requested by the professional, pay for the session online in advance. Once booked, the session can now take place online. Both parties must login and start the session on the Liquic site. Once both parties have initiated the session, then the chat application begins and they are able to communicate in the chosen format. Once the session is over, each person is redirected to their own personal transcript page where all written communication and notes can be viewed. The chat transcript can only be viewed by the two people involved, and personal/professional notes can only be viewed by the individual who wrote them.

Liquic does not chose which professionals offer services, nor do we dictate the contents of the consultations. Liquic is simply the technical provider which facilitates the presentation, scheduling, and execution of online consultations.

This Agreement governs your use of Liquic (the "Services" as further defined below) to provide guidance services to End Users [definiëren], solely in accordance with your duties and obligations as a licensed provider of guidance and wellness services.

Use of the Services is expressly conditioned on:
Your compliance with your professional duties as a licensed professional;
Acceptance of this Agreement.

The obligations set forth in this Agreement are in addition to, and not in lieu of, your professional obligations as a licensed provider of guidance and wellness services.

If you are unable to simultaneously comply with your obligations under this Agreement as well as your professional obligations, you may not use the Services.

Please take the time to carefully review the Agreement which will govern your use of Liquic to provide guidance and wellness services to End Users.

In order to participate in any services offered by Liquic you must read this Agreement and indicate that you understand and accept all of the terms and conditions herein. If you decide not to agree to the terms and conditions discussed herein, you may not use the Services.

These terms and conditions apply to any use by you of the Services on this website, including without limitation all Services available at http://www.liquic.com (or any other sub domain considered as the "Liquic Site") or Liquic services accessible through other sites, such as a personal webpage or Liquic partner.

In addition to this document, in connection with your use of the Services, you are also bound by the Privacy Policy, as well as the guidelines, rules, schedules, disclosures, disclaimers and other terms that we post on the Liquic Site or otherwise provide or make available to you from time to time, each of which are hereby incorporated by reference.

ELIGIBILITY
By using the Service, you represent and warrant that:

You have the legal capacity and authority to agree to the terms and conditions of this Agreement;
All registration information you submit (including but not limited to your licensure information) is accurate and truthful;
You will maintain the accuracy of such information;

And:

Your use of the Services does not violate any applicable law or regulation;
Your profile may be removed and your membership may be terminated without warning if Liquic believes that you are in breach of any of the foregoing representations and warranties.

THE PARTIES
Throughout this Agreement, the words "Liquic," "we," "us," or "our" mean Liquic. "You" or "your " means the Authorized Person who is a licensed provider of guidance services who establishes an account with Liquic which is accessible through the Services, the Liquic Site, or any website or partner that offers Liquic’s services.

"Authorized Person" means any user who has accepted this Agreement or the End User Terms of Service and accessed or used the Services in accordance herewith. "End User" means an Authorized Person who uses Liquic to find a provider and/or receive guidance services via Liquic.

MINIMUM HARDWARE, SOFTWARE, AND NETWORK REQUIREMENTS
In order to use the service, you must satisfy the following requirements:
1. For the email sessions: connectivity to the internet and a working internet browser
2. For the chat sessions: connectivity to the internet, a working internet browser, the latest Adobe Flash plugin
3. For the audio sessions: broadband connectivity to the internet, a working internet browser, the latest Adobe Flash plugin, and a working microphone and headset
4. For the video sessions: broadband connectivity to the internet, a working internet browser, the latest Adobe Flash plugin, a working microphone and headset, and a webcam

DESCRIPTION OF SERVICES
The "Services" shall mean all communication services, features, products, and services available or otherwise used by you on or through the Liquic Site or a website that embeds or makes available Liquic’s services.

SECURITY/CONFIDENTIALITY OF ACCESS INFORMATION
Use of the Services requires a computer and Internet access connected through an Internet Service Provider with a web browser.

You agree to keep your username and password and any other security or access information (collectively, "Access Information") confidential to prevent unauthorized access to your account(s) and to prevent unauthorized use of the Services. You agree not to give or make available your Access Information to any unauthorized individual.

If you believe the security of your Access Information has been compromised in any way (for example, your password has been lost or stolen, someone has attempted to use the Services under your user name without your consent or your accounts have been accessed without your permission), you must notify us immediately.

We reserve the right to deny your access to the Services or any part thereof, in order to maintain or restore security or performance to the Liquic Site or any other Liquic Sites and systems. We may also do so if we reasonably believe you are in breach of this Agreement or your Access Information has been or may be obtained or is being used or may be used by (an) unauthorized person(s).

Liquic agrees not to willingly share information stored within the Liquic system with third parties, except as set forth in the Privacy Policy. However, you agree to hold Liquic harmless in the event information stored in the Liquic system is required to be disclosed by law, or is accidentally or maliciously obtained by a third party. While Liquic takes measures to back-up the information stored in Liquic, you agree to hold Liquic harmless for any loss of data or information stored in the system. You also agree to indemnify and hold harmless Liquic for any damages you incur by using Liquic.

TREATMENT PROVIDER OBLIGATIONS WITH RESPECT TO END USER INFORMATION
You covenant that all use of End User information will not conflict with the Privacy Policy or your professional duties and obligations. All interactions you have with clients on the site are strictly confidential and may therefore never be disclosed to third parties without the written consent of the End User.

You understand that the information available from Liquic, including, but not limited to the FAQs is to be used at your own risk.

PAYMENT AND FEES
1. Liquic Live Membership Fee
The Liquic Live membership incurs an annual fee. This fee must be paid up front for usage of the service. There is no automatic renewal of the service therefore renewal and subsequent payment must be done manually by the service provider.

2. Expiry of Liquic Live Membership
If the current membership expires, the professional will continue to have access to his/her profile and all past sessions which have taken place under the previous membership(s). Since sessions may be planned two weeks in advance, it is possible that the professional will still be able to hold sessions past the date of expiry of his/her membership. Once the membership has expired, it will not be possible to book new sessions.

3. Liquic Session Fees
Each session held on Liquic will incur a per usage fee. The details of these fees can be found in the prices page. These prices are subject to change but the professionals will be notified per email of any changes. If sessions have been booked at the moment the old fees were active, then the old fees will be applied to those sessions. When earnings payments to the professional are made the session fees are automatically deducted.
For sessions which are paid offline, the session fees will be deducted from other session earnings which have been paid online. If there are no such earnings to be deducted from, then Liquic will invoice the professional for the balance.

4. Payout of earnings
The professional will be paid the following calendar month for sessions finalized in the previous month. Payments will be made to the specified bank details which the professional maintains in his/her private profile. If these details are incomplete or inaccurate, Liquic will not be able to make the payment. Bank details maintained are not of a confidential nature and are not vulnerable to fraud. Bank details are never shared with third parties.

5. Non payment of outstanding debts
You agree to promptly pay all fees and charges for Services. In the event of late payment of debts, Liquic reserves the right to terminate the professionals membership without restitution.

6. Cancellation of sessions
You agree that any cancellations of sessions which have already been paid for by the client and have been initiated by you will incur a 7% cancellation fee necessary to refund the client.

ELECTRONIC COMMUNICATIONS
You agree that all electronic communications that we receive on the Liquic Site or otherwise in connection with the Services, such as those directing us to take an action with respect to your account, that match your Access Information or other identity information you have provided when enrolling in or using the Services will be deemed valid, authentic and binding.

You agree (to the maximum extent permitted by law) to hold harmless Liquic and its vendors and suppliers and protect and indemnify Liquic and its vendors and suppliers from and against any and all claims, losses, liability, damages and/or demands (including, without limitation, reasonable attorneys’ fees and court costs) of any kind, direct or indirect, arising out of or in any way connected with any Services rendered by Liquic pursuant to or in accordance with any and all electronic communications for which we have attempted to verify your identity as set forth above.

You agree that all electronic communications, including but not limited to data entry, will not be fraudulent or otherwise incorrect, and that you have the right to disclose any information that you disclose to Liquic.


CHANGES IN SERVICES/INTERRUPTIONS IN SERVICE
We may revise, discontinue, or otherwise modify, temporarily or permanently, the Services or any part thereof (including, without limitation, the Liquic Site, this Agreement, the scope of the Services, and any materials related to the Services), or your access thereto. Without limiting the foregoing, we reserve the right at any time to terminate this Agreement as to all prior versions of the Services and/or related materials and limit access to our more recent versions and updates.

You may choose to accept or decline our changes by closing, continuing or discontinuing use of the Services to which these changes relate. Your use of the Services after we make any changes will constitute your agreement to such changes and the then current version of this Agreement as posted on the Liquic Site.

We may, from time to time perform maintenance upon the Services or experience hardware, software or other problems related to the Services, resulting in interrupted service, delays or errors in the Services. We will attempt to provide prior notice of such interruptions, delays or errors but cannot guarantee that such notice will be provided.

YOUR RESPONSIBILITIES AND LIABILITIES
It is your sole responsibility to ensure that the contact and licensure information in your Liquic user profile is current and accurate. This contact information includes, but is not limited to, name, address, phone numbers, e-mail addresses, states and types of licensure, and account numbers. Changes to your contact information can be made in the personnel section of the Liquic website.

You are aware of the fact that by using the Services a separate agreement is closed between you as a professional and the End User. This agreement is or may be governed by specific, local rules. These rules must be obeyed by you. Liquic is not bound to this agreement between you and the End User and can never be held liable for any damages thereof.

TERMINATION
We reserve the right to terminate this Agreement and your access to the Services, in whole or in part, at any time and for any reason.

ASSIGNMENT
This Agreement is personal to you and you may not assign this Agreement or your rights to the Services to any other party. We expressly reserve the right to assign this Agreement and to delegate any of its obligations hereunder, under our sole discretion and without your consent. We may also assign or delegate certain of our rights and responsibilities under this Agreement to independent contractors or other third parties.

NO WAIVER
We shall not be deemed to have waived any of our rights or remedies hereunder unless such waiver is in writing and signed by us. No delay or omission on our part in exercising any right or remedy shall operate as a waiver of that right or remedy or any other rights or remedies. A waiver on any particular occasion shall not be construed as a bar or waiver of any rights or remedies on future occasions.

HARM TO COMPUTER SYSTEMS/DATA
You agree that we shall have no liability of any kind for viruses, worms, Trojan horses, or other similar harmful components that may enter your computer by downloading information, software, or other materials from the Liquic Site or any other Liquic Site.

LIMITATION OF LIABILITY
Except as otherwise expressly provided herein, your use of the Services is at your own risk.

You agree to INDEMNIFY AND hold HARMLESS Liquic for any damages you MAY incur by using Liquic for any reason (including but not limited to technical failures of Liquic’s systems) except when caused by gross negligence or intentional act by Liquic. None of the entities comprising Liquic or its vendors and suppliers, nor any of their respective officers, directors or employees, nor any other party involved in creating, producing, or delivering the Services is liable for (i) any incidental, consequential, indirect, or punitive damages of any kind; or (ii) cost of replacement goods or services arising out of your access to or use of the Services, or the inability to access or use the Services, whether caused by Liquic or third parties, online service providers, any agent or subcontractor of any of the foregoing. In no event shall Liquic’s liability under this Agreement exceed the amount paid by you for Services in the last 30 days.

GOVERNING LAW AND DISPUTE RESOLUTION
The terms and conditions contained in this Agreement shall be construed under and governed by the laws of The Netherlands and any dispute arising from this Agreement or the breach of this Agreement shall be governed by the laws of The Netherlands.

You agree that any dispute, controversy or disagreement arising out of or relating to this Agreement, the breach thereof, or the subject matter thereof, will be decided exclusively by the competent court in Amsterdam, The Netherlands.

WARRANTY DISCLAIMER
WITHOUT LIMITING THE FOREGOING, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WHILE LIQUIC MAKES EVERY EFFORT TO PROVIDE ACCURATE INFORMATION IN CONNECTION WITH THE SERVICES, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, BREAKTHROUGH MAKES NO WARRANTY THAT (i) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (ii) ANY INFORMATION CONTAINED ON, RESULTS THAT MAY BE OBTAINED FROM THE USE OF, OR OTHER ASPECT OF THE SERVICES WILL BE ACCURATE, CURRENT, COMPLETE OR RELIABLE.

SEVERABILITY
If any provision of this Agreement is void or unenforceable, such ineffectiveness or unenforceability shall not affect the validity or enforceability of such provision in another jurisdiction or any other provision in that or any other jurisdiction nor shall it effect the validity of the rest of this Agreement.

COLLECTION EXPENSES
If we have to file a lawsuit to collect whatever you owe us, you will pay our reasonable expenses under this Agreement, including arbitration fees, attorneys’ fees and court costs with a minimum of € 250,= of 15% of the outstanding amount.
